Terms of Service | Aedeon

These Terms of Service (“Terms”) govern your access to and use of the Aedeon platform, website (aedeon.ai), and related services (“Services”) provided by Mactores Cognition Inc, operating as Aedeon (“Aedeon,” “we,” “our,” or “us”). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing the Aedeon platform, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Aedeon provides a code-intelligent agent platform that includes:

Code Intelligence Graph: automated analysis and mapping of source code into a queryable model of structure, logic, data flows, and dependencies.
Agent Studio: tools for building, configuring, and deploying AI agents grounded in the Code Intelligence Graph.
Agent Library: pre-built and custom agents for engineering and IT automation tasks.

The specific features available to you depend on your subscription tier (Explore, Build, or Enterprise).

3. Account Registration

You must provide accurate, complete, and current information when creating an account.
You are responsible for maintaining the security of your account credentials.
You must promptly notify us of any unauthorized access to your account.
You are responsible for all activities that occur under your account.
One person or legal entity may not maintain more than one free account.

4. Your Code and Data

4.1 Ownership

You retain all ownership rights to your source code, data, and any intellectual property you provide to Aedeon. These Terms do not transfer any of your intellectual property rights to us.

4.2 License Grant

By connecting a repository to Aedeon, you grant us a limited, non-exclusive, revocable license to access and process your source code solely for the purpose of providing the Services — specifically, building and maintaining the Code Intelligence Graph and powering agent operations. We will not use your code for any other purpose.

4.3 Code Intelligence Graph

The Code Intelligence Graph is a derived analytical model generated from your source code. It is created for your exclusive use within the platform. We do not share your graph data with other customers or use it to train models for other purposes.

4.4 Data Deletion

Upon termination of your account or disconnection of a repository, we will delete the associated Code Intelligence Graph data within 30 days. You may request earlier deletion by contacting support@aedeon.ai.

5. Acceptable Use

You agree not to:

Use the Services to violate any applicable law or regulation.
Reverse engineer, decompile, or disassemble any part of the Aedeon platform.
Attempt to gain unauthorized access to other users' accounts, data, or systems.
Use the Services to process code you do not have the legal right to analyze.
Interfere with or disrupt the integrity or performance of the Services.
Use the Services to develop a competing product or service.
Resell, sublicense, or redistribute access to the Services without written authorization.

6. Subscription and Payment

6.1 Pricing

Pricing for the Services is as described on our Pricing page. We reserve the right to modify pricing with 30 days' advance notice. Price changes do not apply to the current billing period.

6.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis, as selected at signup.
All fees are non-refundable except as required by law or as explicitly stated in an Enterprise agreement.
Failure to pay may result in suspension or termination of access to the Services.

6.3 Free Tier

The Explore tier is provided at no cost with limited functionality. We reserve the right to modify or discontinue the free tier at any time with 30 days' notice.

7. Intellectual Property

7.1 Aedeon's IP

The Aedeon platform, including the Code Intelligence Graph engine, Agent Studio, Agent Library, website, documentation, and all associated trademarks, are the exclusive property of Mactores Cognition Inc. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.

7.2 Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback for any purpose, including improving the Services.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and to use it only for the purposes of these Terms. Confidential information includes, but is not limited to, source code, business logic, pricing terms (for Enterprise agreements), and technical specifications. This obligation survives termination of these Terms for a period of three years.

9. Service Availability and Support

We target 99.9% uptime for the Aedeon platform, measured monthly, excluding scheduled maintenance.
Scheduled maintenance windows will be communicated at least 48 hours in advance.
Support response times vary by tier: Community (best effort), Standard (1 business day), Enterprise (per SLA).
We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice.

10. Limitation of Liability

To the maximum extent permitted by law:

Aedeon's total liability under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.
Aedeon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Aedeon does not guarantee that agents will produce error-free results. Agent outputs are recommendations — human review and approval remain your responsibility.

11. Indemnification

You agree to indemnify and hold harmless Aedeon, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) your connection of code you did not have the right to analyze.

12. Termination

You may terminate your account at any time through account settings or by contacting support@aedeon.ai.
We may terminate or suspend your access for violation of these Terms, with notice where practicable.
Upon termination, your right to access the Services ceases immediately. Code Intelligence Graph data will be deleted within 30 days.
Sections that by their nature should survive termination (Confidentiality, Limitation of Liability, Indemnification) will survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration administered by JAMS under its Comprehensive Arbitration Rules. The arbitration shall take place in Delaware. Each party bears its own costs unless the arbitrator determines otherwise.

14. General Provisions

Entire Agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and Aedeon regarding the Services.
Severability: if any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
Waiver: failure to enforce any provision does not constitute a waiver of that provision.
Assignment: you may not assign these Terms without our written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
Notices: we will send notices to the email address associated with your account. You should send notices to legal@aedeon.ai.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by posting the updated Terms on our website and sending a notification to your account email. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
